Terms and Conditions

These Terms and Conditions (“Agreement”) govern the professional services provided by MindTap Solutions (“Company,” “We,” “Us”) to any individual or entity (“Client,” “You”) engaging our services. By submitting a project or signing a Quote, you agree to the following:

1. Scope of Work & "Anti-Scope-Creep" Clause

Defined Scope: Services are limited strictly to the quantities and specifications listed in the signed Quote or Pro-forma Invoice.
Modifications: Any request for additional pages, different output formats (e.g., adding XML after a Word project started), or tighter deadlines will be treated as a New Project and billed at current market rates.
Source File Quality: We are not responsible for delays or errors caused by poor-quality source files (low-res scans, handwriting, or corrupt PDFs). If the source files require "Pre-processing," an additional fee will apply.

2. Payment Terms (The "Anti-Scam" Protocol)

Advance Payment: For all new clients or projects exceeding ₹50,000, a 50% non-refundable mobilization fee is required before work commences.
Milestone Payments: For high-volume projects (e.g., 40 lakh pages), payments will be released in weekly or bi-weekly milestones. Work will stop immediately if a milestone payment is delayed by more than 24 hours.
Final Delivery: We will provide "Watermarked" or "Sample Proofs" for final approval. The full, clean, un-watermarked files will ONLY be released upon receipt of the 100% final balance. No exceptions.

3. Review & Approval (The "72-Hour Rule")

Acceptance Period: The Client has 72 hours (3 business days) from the date of milestone delivery to review the work and request corrections based on the original scope.
Deemed Acceptance: If no feedback is received within 72 hours, the work is legally deemed "Accepted and Final," and the remaining balance for that milestone becomes immediately payable.
Limited Revisions: Revisions are limited to technical errors (e.g., a missed tag). Aesthetic changes or changes to the original instructions are billable.

4. No Refund Policy

Due to the labor-intensive nature of document remediation and conversion, no refunds will be issued once work has commenced.
If a project is cancelled by the Client mid-way, the Client is liable to pay for all work completed up to that hour, plus a 15% cancellation fee.

5. Intellectual Property & Data Ownership

Client Ownership: The Client retains all rights to the original data.
Company Rights: MindTap Solutions retains ownership of any proprietary "Neural Engines," scripts, or custom AI models developed to process the data.
Lien on Work: MindTap Solutions reserves a Legal Lien on all processed files. We will withhold all delivery and intellectual property rights until full payment is cleared in our bank account.

6. Limitation of Liability

Max Liability: In no event shall MindTap Solutions be liable for an amount exceeding the total fees actually paid by the Client for the specific project in question.
Third-Party Losses: We are not liable for any "loss of business," "legal fines," or "missed deadlines" the Client faces with their own end-customers.

7. Confidentiality & Non-Solicitation

Mutual NDA: Both parties agree to keep project details confidential.
Staff Poaching: The Client is strictly prohibited from soliciting, hiring, or contacting MindTap Solutions’ employees, developers, or contractors directly. Any breach of this clause will result in a penalty fee of ₹10,00,000 per person.

8. Governing Law & Dispute Resolution

This Agreement is governed by the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of the courts in Nashik, Maharashtra.
In the event of non-payment, the Client agrees to pay all of MindTap Solutions’ legal fees and collection agency costs.
